3. Eligibility
Our services are available to individuals aged 18 years or older and to legal entities with proper authorization. By engaging our services, you represent and warrant that:

- You have authority to engage legal services on behalf of any entity you represent

- You will comply with all applicable laws and regulations
4. Service Description
Jurisphere provides legal services in Thailand, including but not limited to:
- Initial Legal Assessments and consultations
- Document preparation and review
- Contract drafting and negotiation support
- Business legal partnerships and ongoing counsel
- Regulatory compliance guidance
- Corporate law and commercial matters
Specific services, scope, and deliverables will be outlined in individual engagement letters or service agreements. Our services are subject to availability and our professional assessment of matters we can appropriately handle.
5. Engagement and Scope
5.1 Engagement Process
The attorney-client relationship begins upon mutual agreement documented in an engagement letter. Initial consultations do not automatically create an ongoing attorney-client relationship beyond the specific consultation session.
5.2 Scope Limitations
Our legal services are limited to matters explicitly agreed upon in the engagement letter. We do not provide services outside our defined scope unless additional engagement is arranged. We practice Thai law and may refer matters requiring expertise in other jurisdictions to appropriate counsel.
5.3 Right to Decline
We reserve the right to decline representation based on conflicts of interest, capacity constraints, or professional judgment regarding matters outside our expertise.
6. Client Responsibilities
As our client, you agree to:
- Provide complete, accurate, and timely information relevant to your matter
- Respond promptly to requests for information or documents
- Maintain open communication regarding developments affecting your matter
- Review and approve documents before execution or filing
- Make informed decisions about legal strategies and settlements
- Pay fees and expenses according to agreed terms
- Comply with all applicable laws and ethical standards
- Maintain confidentiality of attorney work product and strategies
7. Fees and Payment
7.1 Fee Structure
Our fees are structured as:
- Fixed fees for defined services (Initial Assessment, Document Preparation)
- Monthly retainers for ongoing Business Legal Partnerships
- Hourly rates for services not covered by fixed-fee arrangements
7.2 Payment Terms
Fees are quoted in Thai Baht (THB). Payment terms include:
- Initial assessments: Payment due before scheduled session
- Document preparation: 50% deposit required, remainder due upon completion
- Monthly retainers: Advance payment by first business day of each month
- Accepted payment methods: Bank transfer, company check, cash at office
7.3 Additional Expenses
Clients are responsible for reimbursing reasonable expenses incurred in providing services, including:
- Court filing fees and official charges
- Document translation and notarization costs
- Travel expenses for matters requiring presence outside Bangkok
- Expert witness fees or specialized research costs
7.4 Late Payment
Unpaid invoices more than 30 days overdue may result in suspension of services and interest charges at rates permitted under Thai law. We reserve the right to withdraw from representation if payment obligations are not met.
8. Confidentiality
We maintain strict confidentiality of all client information in accordance with Thai attorney-client privilege and professional conduct rules. Information shared during consultations and representation remains confidential except where:
- Client authorizes disclosure
- Disclosure is required by law or court order
- Disclosure is necessary to prevent serious harm
- Disclosure is needed to establish fee claims or defend against accusations
9. Intellectual Property
9.1 Firm Property
All content on our website, including text, graphics, logos, and software, is the property of Jurisphere or its licensors and protected by Thai and international intellectual property laws.
9.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use our website for informational purposes. You may not copy, modify, distribute, or create derivative works without written permission.
9.3 Client Documents
Documents prepared for clients remain client property upon payment of fees. We retain the right to maintain copies for file management and professional compliance purposes.
10. Disclaimers
10.1 No Guarantees
While we provide professional legal counsel, we cannot provide outcomes in legal matters. Results depend on many factors beyond our control, including courts, opposing parties, and factual circumstances.
10.2 Professional Advice Disclaimer
General information on our website does not constitute legal advice. Legal advice requires analysis of specific facts and circumstances in a formal attorney-client relationship.
10.3 Third-Party Information
We are not responsible for accuracy of information provided by third parties, including clients, witnesses, or external experts.
11. Limitation of Liability
To the maximum extent permitted by Thai law:
- Our liability for any claim arising from our services is limited to fees paid for the specific service giving rise to the claim
- We are not liable for indirect, consequential, or punitive damages
- We are not liable for losses resulting from client decisions, third-party actions, or circumstances beyond our reasonable control
- Claims must be brought within one year of when the cause of action arose
These limitations do not apply to liability for intentional misconduct or gross negligence.
12. Indemnification
You agree to indemnify and hold harmless Jurisphere, its attorneys, and staff from claims, damages, or expenses arising from your breach of these terms, provision of false information, or unlawful conduct.
13. Termination
13.1 Client Termination
You may terminate our services at any time by written notice. You remain responsible for fees for services rendered and costs incurred through the termination date.
13.2 Firm Termination
We may withdraw from representation for reasons including:
- Non-payment of fees or expenses
- Client failure to cooperate or provide necessary information
- Conflicts of interest that develop during representation
- Client conduct that is illegal or violates professional rules
13.3 Post-Termination
Upon termination, we will provide client file materials as appropriate, subject to payment of outstanding fees. Confidentiality obligations continue after termination.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from or related to our services or these terms will be subject to the jurisdiction of Thai courts.
14.2 Informal Resolution
Before pursuing formal proceedings, parties agree to attempt good-faith resolution of disputes through direct discussion.
14.3 Jurisdiction
Legal proceedings related to these terms or our services shall be brought in the courts of Bangkok, Thailand.
15. General Provisions
15.1 Entire Agreement
These Terms and Conditions, together with engagement letters and service agreements, constitute the complete agreement between parties and supersede prior understandings.
15.2 Severability
If any provision is found invalid or unenforceable, remaining provisions continue in full effect.
15.3 Waiver
Failure to enforce any provision does not constitute waiver of that or other provisions.
15.4 Assignment
You may not assign or transfer your rights under these terms without our written consent. We may assign our rights with notice to you.
15.5 Notice
Notices under these terms should be sent to the contact information provided below and are effective upon receipt.
16. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Updated terms will be posted on our website with a revised effective date.
Changes apply to services engaged after the effective date. Active engagements continue under the terms in effect when service began unless mutually agreed otherwise.
